These Terms of Use ("Terms") govern your use of the Birdychat Widget (the "Service") provided by Tomas Petrasiunas ("we", "us", "our"). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

By accessing or using the Service, you accept these Terms. Please read them carefully.

2. Acceptance and Modifications

We may update these Terms at any time. Continued use after updates constitutes acceptance.

3. Service Eligibility and Use

3.1 Commercial Use Only

The Service is intended solely for business, professional, or commercial use. By using it, you confirm that you are not a consumer and waive rights under consumer protection laws.

Use the Service only for lawful business purposes.

3.3 Prohibited Use

You agree not to:

  • Send spam or unsolicited content
  • Share sensitive data (e.g., credit cards, health information)
  • Use bots, scrapers, or interfere with our systems

4. Plans and Pricing

4.1 Free Trial

A 7-day free trial is available. No credit card is required during the trial period.

4.2 Pricing Options

After the trial:

  • Annual Subscription: $19/year
  • Lifetime Access: $88 (one-time payment)

4.3 Refund Policy

All payments are non-refundable. The free trial allows users to evaluate the Service before subscribing.

5. Account Management

5.1 Account Creation

You must register and provide accurate, complete information.

5.2 Account Security

You are responsible for safeguarding your credentials.

5.3 Business Use

By registering, you confirm that you are acting in a professional capacity.

6. Confidentiality

6.1 Definition

Confidential Information includes business data, technical details, and communications exchanged via the Service.

6.2 Your Obligations

You agree to:

  • Keep such information confidential
  • Use it only as needed for the Service
  • Prevent unauthorized access

6.3 Exceptions

Confidentiality does not apply to:

  • Public information
  • Lawfully obtained information from others
  • Legally required disclosures (with prior notice when possible)

6.4 Post-Termination

Upon termination, we may delete all stored integration data. You are responsible for backing up any necessary data.

7. Intellectual Property

All aspects of Birdychat (software, design, code) are the intellectual property of Tomas Petrasiunas. You are granted a limited, non-transferable license to use the Service for internal business purposes. You may not copy, modify, resell, or reverse-engineer the Service.

8. Third-Party Services

8.1 Integrations

The Service may integrate with third-party platforms such as:

  • Telegram – Message delivery
  • Supabase – Encrypted connection data
  • Stripe – Payment processing

8.2 Your Responsibility

You must review and comply with their terms and privacy policies. We are not liable for any issues related to third-party failures, outages, or data handling.

9. Termination

9.1 By Us

We may suspend or terminate your access if:

  • You violate these Terms
  • You fail to pay required fees
  • Required by law
  • For security reasons

9.2 By You

You may cancel anytime. Cancellations are effective at the end of the billing period. No refunds are provided for early termination.

10. Disclaimer of Warranties

The Service is provided "as is". As a newly launched platform, some features may still be in development and subject to change. We do not guarantee uptime, data reliability, or fitness for a specific purpose. Use the Service at your own risk.

11. Limitation of Liability

To the extent permitted by law, our liability is limited to the amount paid by you for the Service in the last 12 months. We are not liable for:

  • Data loss or corruption
  • Service outages
  • Actions of third parties or your clients
  • Message delivery or encryption failures

12. Indemnity

You agree to indemnify and hold harmless Tomas Petrasiunas from any claims, damages, or liabilities arising from your use of the Service or breach of these Terms.

13. Force Majeure

We are not liable for delays or failures beyond our control, including outages of Telegram, Supabase, internet providers, or natural disasters.

14. International Use

If you access the Service from outside Lithuania, you are responsible for complying with local laws.

15. No Legal Advice

The Service is a messaging tool. It does not provide legal, professional, or financial advice.

16. Data Retention and Deletion

We store integration data only while your account is active. Messages are deleted after 24 hours. Upon account cancellation, integration data may be deleted without notice.

17. Language

These Terms are provided in English. In the event of any discrepancy, the English version prevails.
